Terms of Service

You must be at least 18 years old and legally capable of entering into a binding agreement. If you act for an organization, you represent that you have authority to bind it to these Terms. You may not use the Services if SmartX has suspended or terminated your access.

You represent that your use of the Services is lawful and that neither you nor anyone for whom you act is a blocked person under applicable sanctions, including under applicable ownership or control rules. You must not use the Services for transactions prohibited by applicable sanctions or export-control laws, including applicable U.S. sanctions administered by the Office of Foreign Assets Control (OFAC) and financial sanctions in force in the British Virgin Islands.

Trading services are not available to users located in the United Kingdom or where prohibited by applicable law. SmartX may restrict services, assets, or locations for legal, security, or service-provider requirements. You must not disguise your identity or location, or use a VPN, proxy, or other means to evade these restrictions.

SmartX uses Privy for authentication and embedded wallets. Available login methods may include Apple, Google, email, or other supported methods. Relevant providers' terms and policies may also apply. SmartX does not receive your Apple or Google password.

You are responsible for accurate account information, securing your device and login methods, and, to the extent permitted by law, all activity that occurs through your account. Promptly contact SmartX Support if you suspect unauthorized access. You may not sell, transfer, share, or allow another person to use your account. We may require identity verification or reauthentication for security-sensitive actions.

Wallet access and recovery depend on the relevant provider and your credentials. SmartX does not guarantee recovery of lost access or assets. Do not send passwords, verification codes, private keys, or seed phrases to SmartX Support; support will never request a private key or seed phrase.

SmartX provides market information, profiles, and a non-custodial interface for supported digital asset purchases, sales, deposits, and withdrawals. You control your wallet and authorize transactions. SmartX does not hold your digital assets as custodian, operate its own order book, or act as the counterparty to your swaps.

By authorizing a transaction, you instruct SmartX to facilitate it through the relevant providers and networks. You are responsible for checking the asset, network, recipient, amount, fees, and transaction settings. Quotes may change, and execution depends on available liquidity, network conditions, and the parameters you authorize. Execution and completion times are not guaranteed. Blockchain transactions may be irreversible, and incorrect or unsupported transfers may be unrecoverable.

Transactions may incur SmartX platform fees and separate network or third-party fees. Review the applicable fee information before confirming. A platform-fee waiver does not waive third-party costs, and some network or provider costs may be incurred even if a transaction fails. You are responsible for applicable taxes.

SmartX may add, remove, modify, suspend, or discontinue any part of the Services. We do not guarantee continued availability of any feature, asset, network, profile, ranking, or content. Additional features may be subject to supplemental terms.

Informational content is provided for general information and does not constitute an offer, solicitation, recommendation, endorsement, or guarantee to buy, sell, or hold an asset. SmartX does not provide financial, investment, trading, legal, tax, accounting, or other professional advice, or act as your investment adviser or fiduciary.

Digital assets may lose all their value. Risks include volatility, limited liquidity, slippage, fraud, token failures, software or smart-contract defects, and network or third-party failures. You are responsible for your own research and transaction decisions and for obtaining independent advice where appropriate. Do not rely on the Services as the sole basis for a financial decision or commit assets you cannot afford to lose.

Information may come from public blockchains, third-party providers, public sources, or SmartX calculations. Market data, wallet labels, risk indicators, rankings, and performance estimates may be delayed, incomplete, inaccurate, or unavailable, and calculation methods may change.

A label, ranking, score, badge, or signal does not verify identity, certify safety, guarantee accuracy, or predict future performance. Past performance is not indicative of future results.

We may correct, remove, recalculate, reorder, or change the methodology for data, labels, estimates, or rankings. You may not manipulate or artificially influence them.

The Services rely on or link to independent providers, including Privy, Relay, authentication and market-data providers, blockchain networks, explorers, and social platforms. SmartX does not own or control these third parties. To the fullest extent permitted by law, SmartX is not responsible for their content, availability, security, accuracy, practices, or failures.

Your use of third-party services is subject to their applicable terms and policies. An integration, link, label, or reference is not an endorsement or guarantee.

Blockchain networks are outside SmartX's control. Their records may be permanent and publicly visible, and their operation may be affected by congestion, outages, forks, reorganizations, or protocol changes.

Subject to these Terms, SmartX grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Services for your own lawful use in accordance with these Terms.

SmartX and its licensors retain their respective intellectual-property rights in the Services, including the software, design, text, graphics, logos, interfaces, features, and content they own or license. Except for the limited license above, no rights in those materials are transferred to you.

You may not copy, reproduce, distribute, sell, license, modify, create derivative works from, publicly display, or commercially exploit the Services or their content unless we expressly permit it in writing or applicable law allows it.

The app is also subject to the license agreement applicable to its app-store listing, including Apple's Standard EULA where no custom EULA applies. If that license conflicts with these Terms on matters governed by that license, the license prevails to the extent of the conflict.

SmartX has zero tolerance for objectionable content and abusive behavior. Users must not post, upload, transmit, or otherwise make available content that is unlawful, abusive, harassing, threatening, hateful, sexually explicit, violent, fraudulent, or otherwise objectionable. SmartX reserves the right to remove offending content and suspend or terminate users who violate these requirements. Reports of objectionable content will be reviewed and acted upon within 24 hours.

You agree not to:

• use the Services for unlawful, fraudulent, deceptive, abusive, or harmful activity, including market manipulation or sanctions evasion;
• access or attempt to access another person's account;
• impersonate another person or misrepresent your identity or affiliation;
• interfere with, disrupt, overload, damage, or compromise the Services or related systems;
• probe, scan, or test vulnerabilities or bypass authentication, access, rate, geographic, or security controls;
• introduce malware, viruses, harmful code, or other disruptive technology;
• reverse engineer, decompile, disassemble, or attempt to derive source code, except where applicable law expressly permits it;
• scrape, crawl, harvest, copy, or extract data through unauthorized automated or manual means;
• use bots or automation to create accounts or manipulate rankings, metrics, traffic, or product behavior;
• collect personal information about other users without authorization;
• remove or alter proprietary notices;
• use the Services or their data to build a competing product without our written permission; or
• encourage or assist another person in doing any of the above.

We may investigate suspected violations and cooperate with law-enforcement authorities where appropriate. Reports may be sent to SmartX Support.

If you provide feedback, suggestions, or ideas about the Services, you grant SmartX a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, distribute, and otherwise use that feedback for any lawful purpose without compensation or restriction. Do not provide feedback that you do not have the right to share.

Our Privacy Policy explains how we collect, use, and share information. By using the Services, you acknowledge the practices described in the Privacy Policy.

You may stop using the Services at any time and request account deletion through Delete Account in Settings or SmartX Support. Review remaining assets and pending transactions before deletion; deleting an account does not reverse blockchain transactions.

We may restrict, suspend, or terminate access if we reasonably believe you violated these Terms, created security or legal risk, used the Services fraudulently or unlawfully, or if required to protect SmartX, users, or third parties. Where appropriate, we may provide notice or an opportunity to address the issue.

Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute provisions, remain in effect.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SMARTX AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

WE DO NOT WARRANT THAT THE SERVICES OR ANY DATA, CONTENT, RANKING, ESTIMATE, OR THIRD-PARTY SERVICE WILL BE ACCURATE, COMPLETE, CURRENT, SECURE, UNINTERRUPTED, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

TO THE FULLEST EXTENT PERMITTED BY LAW, SMARTX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR DIGITAL ASSETS, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SMARTX AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID SMARTX TO USE THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless SmartX and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from your violation of these Terms, misuse of the Services, infringement of another person's rights, or unlawful conduct.

This section does not apply to the extent prohibited by applicable consumer law.

These Terms are governed by the laws of the British Virgin Islands, without regard to conflict-of-law rules. Subject to any rights you have under mandatory consumer law, the courts of the British Virgin Islands will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.

Before filing a formal claim, you and SmartX agree to try to resolve the dispute informally. A party must send written notice describing the dispute and requested resolution. If the dispute is not resolved within 30 days after receipt of the notice, either party may pursue available legal remedies.

We may update these Terms as the Services or legal requirements change. Updated Terms will identify a new "Last Updated" date. If a change is material, we will provide appropriate notice through the Services, website, email, or another suitable channel.

Your continued use after updated Terms take effect constitutes acceptance, except where applicable law requires another form of consent.

These Terms and the Privacy Policy constitute the entire agreement regarding the Services, except for any applicable app-store license or supplemental terms that expressly apply to a feature.

If a provision is unenforceable, it will be limited or removed to the minimum extent necessary; the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. SmartX may assign them as part of a merger, acquisition, reorganization, or sale of assets.
